Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website, platform, software, hosted environments, AI agents, workflows, integrations, APIs and related services made available under the brand Workeron.ai by AMA Invest Capital Limited (Registration No.: 77221253, Registered Address: Unit 1603, 16th Floor, The L Plaza, 367-375 Queen's Road Central, Sheung Wan, Hong Kong, Email: support@workeron.ai) ("Workeron.ai", "Company", "we", "us", "our").

By accessing, browsing, registering for, subscribing to, purchasing, deploying, configuring, or otherwise using Workeron.ai, you agree to be bound by these Terms. If you do not agree, do not use Workeron.ai.

1. Eligibility

You may use Workeron.ai only if you are at least 18 years old, have legal capacity to enter into a binding agreement, are not prohibited from using the services under applicable law, and, if you act on behalf of an entity, you have authority to bind that entity to these Terms.

2. Description of Workeron.ai

Core Platform

Workeron.ai is a cloud-based managed platform for the deployment, operation and management of personal AI agents, automations, integrations, isolated environments and related digital workflows.

Infrastructure & AI

Workeron.ai may provide infrastructure through dedicated or isolated containerized environments, may provide access to third-party AI models and APIs (including OpenAI, Anthropic, Google, Meta and Mistral), and may support integrations with channels such as Telegram, WhatsApp, Slack and email.

Modifications

We may modify, update, improve, replace, suspend or discontinue any part of Workeron.ai at any time.

3. Account Registration and Security

To access some or all features of Workeron.ai, you may need to create an account. You agree to provide accurate, current and complete information, keep your login credentials secure, and accept responsibility for all activities conducted through your account. Notify us immediately at support@workeron.ai if you suspect unauthorized access.

4. Subscription, Billing, Tokens and Auto-Renewal

Workeron.ai is offered on a subscription basis and may also include usage-based elements, internal balance, credits, tokens, add-ons, consumption limits, overages or third-party pass-through charges.

By purchasing a subscription or paying for Workeron.ai, you authorize us and our payment providers to charge your selected payment method on a recurring or one-time basis. Payments may be processed by Airwallex, Stripe and PayPal.

Unless explicitly stated otherwise, subscriptions renew automatically. If payment cannot be processed, we may retry, suspend access, or terminate your account.

We may change pricing, packaging or features prospectively, applying from the next billing cycle.

5. Refunds and 30-Day Money-Back Guarantee

5.1 General No-Refund Policy

All purchases, subscription fees, setup fees, balance top-ups, token purchases and other charges are final and non-refundable, except where non-waivable mandatory law expressly requires otherwise.

5.2 Limited 30-Day Money-Back Guarantee

We offer a limited 30-day money-back guarantee commencing from the date of final delivery and written acceptance of the Agent. Requests must be submitted in writing within this window.

5.3 Refund Trigger — Exceptional Circumstances Only

A refund shall be issued only if all of the following conditions are met cumulatively:

• Critical Bug Confirmed: The Agent contains a defect that completely prevents the core function for which it was designed.
• No Client Contribution: The Critical Bug is not caused by any act or modification by the Client.
• No External Dependency Failure: Not attributable to changes, downtime, or issues of third-party platforms, APIs or LLM providers.
• Reproducible & Verified: The Client provides a complete, verifiable, timestamped reproduction report.
• Cure Period Failed: The Developer fails to resolve the Critical Bug within the Cure Period (20 Working Days).

5.4 – 5.9 Additional Terms

Reporting a Critical Bug requires step-by-step reproduction, logs, video recording, and a written declaration. If a refund is issued, all IP rights revert to the Developer, and the Client must certify deletion of all copies within 3 Working Days. Violation entitles the Developer to liquidated damages of 300% of the original contract value.

6. Taxes

All fees are exclusive of taxes unless expressly stated otherwise. You are solely responsible for all VAT, GST, sales tax, use tax, withholding tax, duties or levies.

7. Acceptable Use

You may use Workeron.ai only for lawful purposes. Prohibited activities include:

• Violating any law, regulation, or third-party provider rules
• Infringing intellectual property, privacy, or other rights
• Processing data unlawfully or transmitting malware
• Gaining unauthorized access to systems or interfering with service integrity
• Reverse engineering or attempting to derive source code (except where permitted)
• Scraping or harvesting data without authorization
• Sending spam or phishing
• Generating illegal, fraudulent, deceptive, abusive, or harmful content
• Using for weapons, critical infrastructure, or life-sustaining decisions without written approval

8. AI-Specific Terms

AI outputs may be inaccurate, incomplete, biased, offensive, misleading or unsuitable. You are solely responsible for reviewing, validating and approving all outputs, actions, and recommendations before relying on them. Workeron.ai does not provide legal, tax, accounting, investment, compliance, or professional advice.

9. Third-Party Services

Workeron.ai may rely on third-party providers including OpenAI, Anthropic, Google, Meta, Mistral, Airwallex, Stripe, PayPal, PostHog, Hetzner, Supabase, Telegram, WhatsApp, Slack and others. We are not responsible for the acts, omissions, or service changes of such third parties.

10. Customer Data

You retain your rights in the data, files, prompts, content, and materials you submit ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free, limited license to host, copy, store, process, transmit and display Customer Data solely as necessary to provide and improve Workeron.ai.

11. Intellectual Property

Workeron.ai, all associated software, source code, interfaces, architecture, designs, trademarks, logos, and documentation remain the exclusive property of AMA Invest Capital Limited and/or its licensors.

12. Feedback

If you provide feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use such feedback without restriction.

13. Suspension and Termination

We may suspend, restrict or terminate your access immediately if we reasonably believe you breached these Terms, failed to pay, or created legal or security risk.

14. Availability

Workeron.ai is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability or error-free operation.

15. Disclaimers

To the maximum extent permitted by law, Workeron.ai disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or security.

16. Limitation of Liability

To the maximum extent permitted by law, we shall have no liability for any indirect, incidental, special, punitive, or consequential damages.

17. Indemnification

You agree to defend, indemnify and hold harmless AMA Invest Capital Limited and its affiliates from any claims arising out of your use of Workeron.ai, your Customer Data, your breach of these Terms, or your violation of law or third-party rights.

18. Privacy

Your use of Workeron.ai is also governed by the Privacy Policy, which is incorporated into these Terms by reference.

19. Export Controls and Sanctions

You represent that you are not subject to trade sanctions or export restrictions, and will not use Workeron.ai in violation of export control, sanctions or anti-boycott laws.

20. Governing Law and Jurisdiction

These Terms shall be governed by the laws of Hong Kong. The courts of Hong Kong shall have exclusive jurisdiction over all disputes.

21. Changes to These Terms

We may update these Terms from time to time. The updated Terms become effective upon posting.

22. General

If any provision is held invalid, the remaining provisions shall remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and AMA Invest Capital Limited.
